1.1. We are Frank Finance Ltd ('Frank', 'we', 'us'), a limited company registered in England and Wales under company number 16227004. Our registered office is at Suite 13, Whitehall Place C/O Future Insight Consultancy Ltd, 47 The Terrace, Gravesend, Kent, England, DA12 2DL.

1.2. We are not regulated by the Financial Conduct Authority.

1.3. We operate www.heyfrank.ai (the 'Website') and the Frank mobile device application (the 'App') and the Frank web based application (the 'Web App'; together with the App, the 'Platform'). The Platform allows Members to access electronic money accounts (each an 'Account'). Accounts and any related payment cards are provided and/or issued by our Partners.

2. About these Terms

2.1. By using the Website, you confirm that you have read, understood, and agree to these Website Terms. If you do not agree, you must not use the Website.

2.2. These Website Terms incorporate our Privacy Statement and our Cookie Policy.

3. Other terms that might apply

3.1. If you open an Account, you will be required to agree to (a) the Membership Agreement and App Terms; and (b) the account terms issued by the Partner providing the Account.

3.2. If you use services provided by our Partners outside of Accounts, you must agree to the applicable Partner terms.

3.3. If you access or use the Platform, the App Terms apply to that use, and these Website Terms do not.

3.4. If you apply to the Frank Founding 1000 Programme, the terms of that programme will also apply.

4. Information on the Website

4.1. While we make reasonable efforts to update Website content, we make no guarantees that content is accurate, complete, or up to date.

4.2. Website content is for general information only and does not constitute advice. You should seek professional advice before acting on Website content.

4.3. We may update or change Website content at any time.

5. Changes to these Website Terms

5.1. We may amend these Website Terms from time to time and without notice. The latest update date appears at the top of this page.

6. Transfer of these Website Terms

6.1. We may transfer our rights and obligations under these Website Terms to another organisation, provided that this will not reduce your rights under these Terms.

7. Use of Website materials

7.1. We own or license all intellectual property rights in the Website and its content.

7.2. No Website content may be reproduced, distributed, or reused without our permission. Downloading content does not grant you any ownership rights.

8. Text and data mining / web scraping

8.1. You must not conduct or permit text or data mining, web scraping, or automated data extraction from the Website, including for the purpose of training artificial intelligence systems.

8.2. This clause constitutes an express reservation of rights under Article 4(3) of Directive (EU) 2019/790 (the EU Digital Copyright Directive), to the extent it applies, and any equivalent reservation available under other applicable law.

8.3. We do not consent to the use of Website content for developing, training, or validating artificial intelligence systems.

8.4. This clause applies except to the extent its exclusion is not permitted by applicable law.

9.1. 'Frank', Hey Frank’ and our logo are trademarks of Frank Finance Ltd.

9.2. You may not use our trademarks without our approval.

10.1. Links are provided for information only and do not constitute endorsement.

10.2. We are not responsible for third-party website content.

11. Viruses

11.1. We do not guarantee that the Website is secure or virus-free.

11.2. You must use appropriate virus protection.

11.3. Unauthorised access, malware, or attacks against the Website are prohibited and may constitute criminal offences.

12. Liability

12.1. We do not exclude or limit our liability where it would be unlawful to do so, including for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

12.2. Our liability for the Member Services or for any Partner service is governed by the Membership Agreement, the App Terms, or the applicable Partner terms, as relevant, and not by these Website Terms.

12.3. The Website is for your personal, non-commercial use. We are not liable to you for any business losses.

13. Suspension or withdrawal

13.1. The Website is provided free of charge.

13.2. We may suspend or withdraw access to the Website at any time for operational reasons.

13.3. You are responsible for ensuring that anyone else using your internet connection to access the Website is aware of, and complies with, these Website Terms.

14. Use of personal information

14.1. We will only use your personal information as set out in our Privacy Statement, which you should read.

15. Governing law

15.1. These Website Terms, and any dispute arising out of or in connection with them, are governed by English law. You agree that the courts of England and Wales will have exclusive jurisdiction, except that if you are resident in Northern Ireland you may also bring proceedings there, and if you are resident in Scotland, you may also bring proceedings there.

16. Severability

16.1. If any part of these Website Terms is found to be invalid, unlawful, or unenforceable, such part will be separable from the remaining terms, which shall continue to be valid and enforceable.
