Founding 1000 Participant Terms

1. About these terms

1.1. These terms apply to the Frank Founding 1000 Programme (the "Programme") run by Frank Finance Ltd ("Frank", "we", "us"), a company registered in England and Wales under company number 16227004, whose registered office is at 22a, St James’s Square London SW1Y 4JH, England.

1.2. In these terms:

"Account Terms" means our membership agreement, the terms of use of our app and the relevant Partner's Account and payment card terms that apply when you become a Member, as updated from time to time.

"Account" means an electronic money account provided by one of our Partners.

“Code of Conduct” means the code of conduct located here: https://www.heyfrank.ai/code-of-conduct.

"Founding 1000 Perks" are: waiver of Membership Fees on a premium tier membership for the lifetime of that membership, eligibility for distinct card designs, and early access to new features and other perks by invitation from time to time.

"Member" means a person who has entered into our Membership Agreement and holds an Account.

"Membership Fees" means the subscription or other fees we charge Members.

"Partner" means a business we work with to provide Accounts and payment cards.

“Session” is a Programme activity we invite you to take part in.

1.3. The Programme is product research, testing, review and feedback to help us design Frank's products. Any perks, rewards or remuneration provided under the Programme are tied to your participation in those activities and are not an incentive for holding an Account. Taking part does not open an Account or make you a Member.

2. Who can apply and how we select participants

2.1. You must be 18 or over, a UK resident and hold a UK bank account.

2.2. Applying does not guarantee a place in the Programme. We select participants at our discretion to create a balanced research group. The Programme is limited to 1,000 participants across both stages. Your position on the waitlist is a factor we will consider but does not guarantee a place or priority. We will tell you by email whether you have been selected.

3. How the Programme works

3.1. The Programme has two stages. You may be invited to join at either stage:

a. Pre-Account stage: before Accounts are available. You may be invited to review designs, prototypes and other material, complete surveys, and take part in group discussions or interviews. You do not need an Account to take part in the Pre-Account stage. You may also be invited to try features before they are generally available; and

b. Account stage: once Accounts are available. If you become a Member you may be invited to give feedback on using the Account.

3.2. You choose which Sessions to take part in. You are never obliged to accept an invitation to participate in a Session.

3.3. You qualify for Founding 1000 Perks if, by the time Frank opens Accounts to the public, you have:

a. completed at least 80% of the surveys we invite you to, and

b. missed no more than 1 other Session (call, interview or event) you said you'd attend without telling us before it starts. Declining an invitation to a Session never counts against you.

3.4. The Founding 1000 Perks are personal to you and cannot be transferred or exchanged for cash. We may change or withdraw any of the Founding 1000 Perks where necessary for legal or regulatory reasons, if required by the relevant Partner, if you cease to be a Member for any reason, or if you have not yet qualified.

3.5. You do not have to open or fund an Account, or become a Member, to take part in the Programme. Participation in the Programme does not qualify you as a Member or for an Account. Your membership and Account remain subject to the Account Terms, including fees and charges not covered by the Founding 1000 Perks.

3.6. The Code of Conduct is incorporated as part of these terms. You are required to comply with the Code of Conduct. If you materially breach the Code of Conduct we may remove you from the Programme and void your qualification for Founding 1000 Perks.

3.7. You can withdraw your participation at any time by emailing support@heyfrank.ai. We may end your participation, or the Programme, at any time. If you have already qualified for Founding 1000 Perks, you keep them unless you cease to be a Member, are removed for failure to comply with the Code of Conduct, or a change or withdrawal is necessary for legal or regulatory reasons or is required by the relevant Partner.

3.8. Participation in the Programme does not make you an employee, worker, agent or partner of Frank.

4. Content and feedback

4.1. Content we share with you in the Programme (including designs, prototypes, plans and discussions) is confidential information. You must keep such content confidential (eg do not copy, screenshot, record, share or publish it except as needed for authorised participation), use it only for taking part in the Programme and not share it with any third party without our express written consent. This excludes information that is public other than through a breach, already lawfully known to you, independently developed or lawfully received from another source without restriction. It does not prevent disclosures required by law, to a regulator or to a professional adviser under a duty of confidentiality.

4.2. You assign to Frank all intellectual property rights in the feedback, ideas and suggestions you give us in the Programme.

5. Regulatory status and general

5.1. Regulatory status: Frank Finance Ltd is not authorised or regulated by the Financial Conduct Authority. Frank does not issue e-money or provide payment services. Accounts are provided by our Partners.

5.2. Prototypes and other Programme material are for research only. They may be incomplete or inaccurate and are not financial advice. Please do not rely on them to make decisions. Nothing in these terms limits any liability that cannot be limited by law.

5.3. We may update these terms at any time by posting an updated version. The updated terms will take effect when they are posted.

5.4. These terms are governed by the laws applicable in England. Any dispute arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
